1. Definitions and Interpretation
For the purposes of this Agreement: "Company" refers to Edulink Global. "Client" refers to any individual or entity engaging the Company's services. "Services" refers to all advisory, consultancy, application, visa, and related support services provided by the Company. "Third Parties" include universities, immigration authorities, embassies, financial institutions, airlines, and accommodation providers. "Application" refers to any submission made to a university, embassy, or institution on behalf of the Client. "Fees" refers to all payments due to the Company for Services rendered. Any reference to singular includes plural and vice versa. Headings are for convenience only and do not affect interpretation.
2. Legal Acceptance and Binding Effect
By accessing, registering for, or paying for any Services, the Client confirms they have read and understood these Terms, agrees to be legally bound by them, and confirms they have the legal capacity to enter into this Agreement. If the Client is under legal age, a parent or guardian must consent and assume responsibility.
3. Nature and Scope of Services
Edulink Global provides consultancy services only and does not act as a university, visa authority, or legal representative. Services may include: academic guidance and course selection, application preparation and submission, visa advisory support, scholarship guidance, and pre-departure and travel assistance. The Company reserves the right to refuse service where necessary, modify service structure without prior notice, and assign staff or third-party collaborators to deliver services.
4. No Guarantee of Outcomes
The Client expressly acknowledges that admission decisions are made solely by educational institutions, visa approvals are made solely by immigration authorities, and scholarships are awarded at the discretion of institutions. The Company does not guarantee: admission, visa approval, scholarships, or specific timelines. Any estimates provided are indicative only and not legally binding.
5. Fees, Pricing, and Payment Obligations
All fees are quoted in USD unless otherwise agreed. Payment must be made in full or as per agreed instalment plan before services commence. Fees are strictly for services rendered and not for guaranteed results. The Client agrees that payments are non-transferable, failure to pay may result in immediate suspension of services, and the Company reserves the right to revise pricing at any time for new clients. Additional costs not included in fees: university application fees, visa fees, medical tests, flight tickets, and accommodation deposits.
6. Refund Policy (Strict Enforcement)
Refunds are limited and subject to strict conditions. Eligible Refund Scenarios: services not yet delivered, duplicate payments, visa rejection despite full compliance. Refund Limits: Standard Package up to 50%, Premium Package up to 70%. No Refund Will Be Issued If: the Client withdraws voluntarily, incorrect or false information is provided, deadlines are missed by the Client, the Client fails to follow guidance, admission or visa is granted, or work has already been substantially completed. Additional Conditions: administrative and processing fees are non-refundable, refund processing may take up to 30 business days, and all refund decisions are at the Company's sole discretion.
7. Client Obligations and Warranties
The Client warrants that all information provided is true, accurate, and complete, all documents submitted are authentic, and they will comply with all deadlines and requirements. The Client agrees not to submit fraudulent documents and not to misrepresent qualifications or identity. Any breach may result in: immediate termination of services, forfeiture of fees, and reporting to relevant authorities if required.
8. Document Handling and Responsibility
The Company is not responsible for loss, delay, or damage of documents submitted via third-party courier or digital platforms. The Client is responsible for keeping copies of all documents. The Company does not verify authenticity beyond reasonable checks. Clients should maintain digital and physical backups of all submitted materials.
9. Third-Party Disclaimer
The Client acknowledges that the Company is not responsible for actions or decisions of Third Parties and does not control processing times or outcomes. This includes: university rejections, visa refusals, delays in admission processing, and travel disruptions. The Company acts as a facilitator only and cannot influence third-party decisions.
10. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for: indirect or consequential losses, loss of income, opportunity, or reputation, and emotional distress or inconvenience. Total liability shall not exceed the total Fees paid by the Client in the preceding 12 months. This limitation applies regardless of the cause of action.
11. Indemnification
The Client agrees to indemnify and hold harmless Edulink Global from: any claims arising from false information provided by the Client, any legal issues caused by misuse of services, and any losses resulting from Client negligence or misconduct. This indemnification extends to all costs, damages, and legal fees incurred by the Company.
12. Force Majeure
The Company shall not be liable for delays or failure due to events beyond its control, including: natural disasters, pandemics, government policy changes, political instability, travel restrictions, and global health emergencies. In such cases, the Company will provide alternative solutions or fair adjustments to service delivery timelines.
13. Privacy and Data Usage
The Client consents to the collection and use of personal data for service delivery as outlined in our Privacy Policy. Data may be shared with relevant Third Parties including universities, visa officers, and accommodation providers. The Company takes reasonable security measures but does not guarantee absolute protection. Clients have the right to request data access, correction, or deletion in accordance with applicable privacy laws.
14. Intellectual Property
All materials, templates, guidance documents, and proprietary processes provided remain the exclusive intellectual property of Edulink Global. The Client may not reproduce, distribute, resell, or publicly share any materials without written consent. Unauthorized use may result in legal action. The Client retains ownership of their personal documents and submitted information.
15. Communication Consent
The Client agrees to receive communication via email, phone, and messaging platforms (e.g., WhatsApp). These communications may include: service updates, deadline reminders, important notices, and status notifications. The Client may request communication preferences but acknowledges that critical updates cannot be declined. Failure to respond to communications may delay service delivery.
16. Suspension and Termination
The Company may suspend or terminate services if: the Client breaches these Terms, payments are not made within 14 days of due date, or fraudulent activity is suspected. Upon termination: no refunds may be issued except as per the Refund Policy, all ongoing work may be halted immediately, and the Company may pursue legal remedies for outstanding fees or damages.
17. Dispute Resolution
Parties agree to attempt amicable resolution first through direct communication and good faith negotiation within 30 days of dispute notice. If unresolved, disputes shall proceed to mediation. If mediation fails, disputes shall be subject to legal action and binding arbitration or court proceedings as applicable under Malaysian law.
18. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles. All disputes, claims, and legal proceedings shall fall under the exclusive jurisdiction of the courts located in Kuala Lumpur, Malaysia. The Client agrees to submit to the jurisdiction of these courts.
19. Amendments and Updates
The Company reserves the right to modify these Terms at any time without prior notice. Changes will be posted on the website with an updated "Last Updated" date. Clients will be notified of material changes via email. Continued use of services after posting of changes constitutes acceptance of modified terms. If you do not agree with modifications, you must cease using our services.
20. Severability
If any provision of this Agreement is found invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall remain in full force and effect. The Company and Client will work in good faith to replace the invalid provision with a valid one that achieves the original intent.
21. Entire Agreement
This document, including any referenced policies, constitutes the entire agreement between the Client and Edulink Global and overrides all prior communications, understandings, and agreements, whether written or oral. No representations, warranties, or promises have been made except as explicitly stated herein. Any supplementary agreements must be made in writing and signed by both parties.
22. Acknowledgment and Consent
By engaging Edulink Global, the Client confirms that: (1) they have fully read and understand these Terms and Conditions, (2) they have the legal authority to enter into this binding agreement, (3) they agree to be legally bound by all provisions, (4) they accept all risks associated with third-party decisions and circumstances beyond the Company's control, and (5) they waive any claims based on lack of knowledge of these terms. This acknowledgment is binding and enforceable.
LEGAL ACKNOWLEDGMENT AND BINDING AGREEMENT
By accessing, registering for, or paying for any Services, you explicitly acknowledge that you have read, fully understood, and irrevocably agree to be bound by all Terms and Conditions contained herein. You confirm that you have the legal capacity to enter into this binding agreement and accept all associated risks and limitations outlined in this document.
This is a legally binding contract. If you do not agree to these terms, do not engage our services.
